4. Client Responsibilities

To enable ECOOPEX to deliver services effectively, clients are responsible for providing accurate and complete information.

The client agrees to provide, where applicable:

Required business information
Brand assets and logos
Website or platform access
Advertising account access
Product or service information
Content approvals
Timely feedback
Payment information
Other materials reasonably required for the project

Delays in providing information, approvals, content or access may affect project timelines.

ECOOPEX will not be responsible for delays caused by the client's failure to provide necessary information, approvals or access.

The client is also responsible for ensuring that any information, images, trademarks, content or materials supplied to ECOOPEX may legally be used for the project.

5. Payments & Refunds

Fees for ECOOPEX services will be communicated through a proposal, quotation, invoice, subscription plan or other written agreement.

Unless otherwise agreed in writing:

Payments must be made according to the agreed payment schedule.
Work may begin only after receipt of the required advance or initial payment.
ECOOPEX may pause work where payments become overdue.
Additional work outside the agreed project scope may be charged separately.
Third-party expenses may be charged separately where applicable.

Payments made for work already started, completed, allocated or delivered may be non-refundable.

Where a refund is applicable, it will be determined based on the specific service agreement, work completed, resources allocated and third-party costs incurred.

Advertising spend, software subscriptions, domain purchases, hosting charges, platform fees and other third-party costs are generally not controlled by ECOOPEX and may not be refundable.

Any specific refund terms stated in a proposal or agreement will take priority over this general section.

6. Intellectual Property

Unless otherwise agreed in writing, all intellectual property owned by ECOOPEX before the start of a project remains the property of ECOOPEX.

Marketing strategies
Processes
Templates
Systems
Internal documents
Research methods
Website components
Design systems
Reusable code
Presentation formats
Proprietary materials

For custom client deliverables, ownership or usage rights will be determined by the applicable proposal or agreement.

Where full ownership of final approved deliverables is transferred to the client, such transfer may be subject to full payment of all outstanding fees.

Clients may not reproduce, resell, distribute or commercially exploit ECOOPEX proprietary materials without written permission.

Third-party fonts, software, plugins, images, stock assets, platforms and other licensed materials remain subject to their respective licence terms.

7. Confidentiality

Both ECOOPEX and the client agree to take reasonable steps to protect confidential information shared during a project.

Confidential information may include:

Business strategies
Financial information
Customer information
Marketing plans
Access credentials
Internal documents
Product information
Commercial information
Unreleased business plans

Confidential information will not be intentionally disclosed to third parties except where:

Permission has been provided;
Disclosure is required to deliver the agreed service;
Disclosure is required by law; or
The information is already publicly available through lawful means.

This obligation may continue after completion or termination of the project.

8. Limitation of Liability

ECOOPEX aims to provide professional and commercially reasonable services. However, business, marketing and digital performance can depend on many factors outside our control.

We do not guarantee specific outcomes such as:

Sales revenue
Profit levels
Search engine rankings
Advertising performance
Lead volumes
Social media growth
Website traffic
Investment or fundraising outcomes
Business growth

To the extent permitted by applicable law, ECOOPEX will not be liable for indirect, incidental, special or consequential losses arising from the use of our website or services.

Where liability cannot be excluded, ECOOPEX's total liability will generally be limited to the amount paid by the client for the specific service giving rise to the claim, subject to applicable law and any different terms agreed in writing.

Required information or cooperation is repeatedly not provided.
The project involves unlawful or misleading activity.
Continuing the engagement creates legal, security or reputational concerns.
The client engages in abusive or inappropriate conduct towards our team.

Upon termination, the client may remain responsible for payment for work already completed, resources allocated and approved third-party expenses.

Any deliverables or access rights due after termination will be subject to applicable payment and contractual obligations.

11. Governing Law

These Terms are governed by the applicable laws of India.

Unless otherwise agreed in writing, disputes relating to these Terms or ECOOPEX services will be subject to the jurisdiction of the appropriate courts in Maharashtra, India.

Where possible, both parties are encouraged to attempt to resolve disputes through good-faith discussion before beginning formal legal proceedings.

12. Changes to Terms

ECOOPEX may update these Terms & Conditions from time to time to reflect changes in our services, business practices, website functionality or legal requirements.
